1. Acceptance of Terms
By accessing the BSC Ignite platform or engaging in our Operational Efficiency Audit, you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a coaching practice or speaking business, you represent that you have the authority to bind that entity.
2. The "Operational Audit" & Intellectual Property
Agency IP: The structure, logic, and diagnostic frameworks used in our surveys and audits are the exclusive intellectual property of BSC Ignite Agency.
Limited License: Clients are granted a limited license to view their audit results. You may not reproduce, "white-label," or resell our diagnostic framework to other coaches or agencies without express written consent.
3. Professional Services & Migration
System Consolidation: Our service involves migrating your business from third-party tools (e.g., Monday.com, Sage, Kajabi) into the BSC Ignite ecosystem.
Client Responsibility: You are responsible for maintaining backups of your data from previous systems during the transition. While we facilitate the move, the Agency is not liable for data loss occurring within third-party platforms.
No Guarantee of Third-Party Fees: While we aim to reduce your overhead, the Agency is not responsible for any "early termination fees" or "contractual penalties" you may owe to your previous software providers.
4. Fees and Payments
Currency: All fees are billed in South African Rand (ZAR) unless otherwise stated.
Subscription: Access to the BSC Ignite ecosystem is provided on a subscription basis. Failure to maintain payment will result in the suspension of access to your dashboard and CRM data.
Refund Policy: Due to the digital and consultative nature of the Audit and Setup process, fees are generally non-refundable once the Audit has been delivered or the Migration has commenced.
5. Team Access & Usage
Seat Licensing: Unlike other platforms that charge per "seat," BSC Ignite provides unlimited team access. However, you are responsible for the conduct of any team member or "Viking Warrior" added to your sub-account.
Account Security: You must notify us immediately of any unauthorised use of your agency account.
6. Limitation of Liability
To the maximum extent permitted by South African law, BSC Ignite Agency shall not be liable for any indirect, incidental, or consequential damages (including loss of coaching revenue or missed speaking opportunities) resulting from the use of our platform or services.
7. Governing Law
These terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes shall be subject to the exclusive jurisdiction of the courts in Pretoria, Gauteng.
